These Terms of Service are provided in both English and Traditional Chinese. Both language versions are intended to be read together and to have equivalent effect. However, in the event of any inconsistency, ambiguity, or conflict between the English version and the Traditional Chinese version of these Terms (or any document incorporated herein by reference), the English version shall prevail to the extent of such inconsistency, ambiguity, or conflict. Where a Product Agreement exists and has been accepted by you:

(b) In the event of any direct conflict or inconsistency between a Product Agreement and these Terms with respect to the specific product or service governed by that Product Agreement, the Product Agreement shall prevail to the extent of such conflict or inconsistency only.

4.3 Restrictions on Course Interaction and Q&A: Any responses, case studies, or stock commentary made by instructors, staff or any invited special guest during our in-person events, Facebook/YouTube live streams, Zoom live courses, community forums, pre-recorded and replay courses or any Q&A sessions are purely for illustrating educational philosophies and analytical frameworks. Instructors will absolutely not provide customized investment advice based on your personal financial situation, nor will they provide specific buy, sell, or hold instructions. You should not interpret any interaction as an incentive to make any specific securities transaction.

 

5. Restrictions on Use

5.1 You agree and undertake not to engage in any of the following activities:

  • Copying, reselling, renting, or otherwise utilizing any part of the Service or Content for any commercial purpose;
  • Sharing, selling, or transferring your account, subscription, or login credentials with any third party;
  • Circumventing any access controls, security features, paywalls, or geo-restrictions;
  • Using any web crawler, bot, or similar automated data extraction method to scrape data from this website;
  • Recording, photographing, live-streaming, or creating audio/video/screen recordings of any content or live-streamed courses, or systematically taking screenshots, unless expressly authorized in writing by us;
  • Sharing any paid content on any third-party platform (including messaging apps, social media, file-sharing services);
  • Using any of our content (including its structure, methods, and materials) to create any competitive courses, products, or services;
  • Accessing, using, or processing any of our content for the purpose of developing, training, or testing any artificial intelligence (AI), machine learning models, or other automated systems.

5.2 Device and Session Restrictions and Monitoring

To protect the integrity of the service and prevent unauthorized sharing, we reserve the right to impose reasonable restrictions on concurrent login sessions, the number of registered devices, and unusual login activity. You acknowledge and agree that we may use technical measures such as access logs, device identifiers, content watermarking, and unusual activity detection to investigate suspected violations.

 

5.3 Live Session Recording and Participant Consent

  • You acknowledge and agree that all live sessions may be recorded. By participating in any live session (including turning on audio and video or speaking in the chat area), you expressly agree that your name/username, voice, image (if you have a camera enabled), chat messages, and any material you share may be included in the recording.
  • Such recordings will be used to provide course replays to students, conduct internal quality monitoring and training, and address potential service abuse or security issues. 
  • If you do not wish to be recorded, you should avoid turning on your camera or microphone during live sessions and avoid sharing any personal or confidential information.
5.4 Restrictions on AI Tools and Proprietary Technology
Where we provide access to any artificial intelligence tools, AI-powered features, automated analysis systems, AI-generated content pipelines, chatbots, recommendation engines, or other proprietary technology (collectively, "AI Tools") as part of our Services, you acknowledge that such AI Tools constitute valuable proprietary intellectual property of the Company and are protected under applicable Hong Kong and international law. You agree that you shall not, and shall not attempt to, permit, facilitate, or assist any third party to engage in any of the following activities:
 
(a) Reverse Engineering and Decompilation
Reverse engineer, decompile, disassemble, decode, translate, or otherwise attempt to derive, reconstruct, or discover the source code, object code, underlying architecture, model weights, training datasets, hyperparameters, fine-tuning methodologies, system prompts, instruction sets, or algorithms of any AI Tool, whether in whole or in part, by any means whatsoever, except to the extent that such activity is expressly permitted by applicable mandatory law that cannot lawfully be excluded by contract (including any statutory right of interoperability under section 60 of the Copyright Ordinance (Cap. 528) of Hong Kong), and only to the minimum extent strictly necessary for such permitted purpose;
 
(b) Probing and Extraction
Use any method — including but not limited to repeated or systematic querying, adversarial inputs, prompt injection attacks, model inversion attacks, membership inference attacks, side-channel analysis, or output pattern analysis — to extract, infer, reproduce, or reconstruct the internal logic, system instructions, proprietary configurations, training data, or operational parameters of any AI Tool;
 
(c) Circumvention and Safety Override
Bypass, disable, override, or circumvent any access control mechanism, safety filter, content moderation system, output restriction, rate limit, or other technical protection measure implemented in or around any AI Tool, including but not limited to through the use of so-called "jailbreaking" techniques, adversarial prompts, roleplay-based exploits, hypothetical framings, or any other method designed or intended to cause the AI Tool to operate outside its intended parameters, generate content contrary to its design constraints, or produce outputs that would otherwise be restricted;
 
(d) Competitive Model Development
Use outputs, responses, generated content, or any other data produced by our AI Tools, in whole or in part, to develop, train, fine-tune, benchmark, evaluate, or improve any artificial intelligence model, machine learning system, or automated service, for commercial purposes or in a manner that competes with, substitutes for, or undermines the commercial value of the Company's Services or AI Tools, without our prior express written consent;
 
(e) Unauthorised Replication
Attempt to replicate, imitate, clone, or create a functional equivalent or derivative version of any AI Tool or its core capabilities through systematic interaction, output harvesting, API mirroring, or any other method, whether or not such attempt is ultimately successful;
 
(f) Unauthorised Distribution of AI Outputs
Distribute, publish, license, sell, sublicense, or otherwise make available to any third party any output, content, report, analysis, or result generated by our AI Tools, except solely for your own personal, non-commercial reference use, or as expressly authorised by us in writing in advance;
 
(g) Credential and Access Abuse
Share, sell, transfer, sublicense, or otherwise provide access to any AI Tool to any third party, or knowingly allow any third party to access our AI Tools through your account credentials, session tokens, API keys, or any technical workaround, whether for compensation or otherwise.
 
Consequences of Breach
Any breach or attempted breach of this Clause 5.4 constitutes a material breach of these Terms and shall, without limiting any other rights or remedies available to the Company at law or in equity, entitle the Company to:
 
(i) immediately suspend or permanently terminate your access to all or any part of the Services, without prior notice and without refund of any fees paid;
 
(ii) seek urgent injunctive relief or other equitable remedies from a court of competent jurisdiction to restrain further or continued breach, without the need to prove actual damage;
 
(iii) claim damages, including but not limited to direct losses, loss of profits, loss of competitive advantage, costs of technical remediation, and legal costs on a full indemnity basis; and
 
(iv) report the conduct to relevant law enforcement authorities, regulatory bodies, or other competent authorities where applicable.
 
The Company's rights under this Clause shall survive termination of these Terms and are cumulative with all other rights and remedies available to the Company.
 
5.5 Permitted Sharing and the Results-to-Content Boundary
You acknowledge that the Company's AI Tools generate output that embodies or reflects proprietary analytical methodologies, frameworks, and intellectual property. In order to balance your right to share personal learning experiences with the Company's rights to protect its intellectual property, the following boundary applies to your sharing of any output or insights derived from AI Tools:
 
(a) Permitted: You may share your personal, general impressions, experiences, or testimonials about the AI Tools in your own words, provided that such sharing does not disclose, reproduce, or enable others to replicate the specific analytical frameworks, step-by-step methodologies, scoring logic, evaluation criteria, or proprietary processes underlying the output. Examples of permitted sharing include statements such as: "I found the analysis helpful in understanding market trends" or "The tool gave me a different perspective on this stock."
 
(b) Prohibited: You shall not disclose, publish, teach, demonstrate, or publicly share:
 
(i) specific analytical frameworks, step-by-step methodologies, scoring criteria, evaluation rubrics, or proprietary processes that are reflected in, embodied in, or can be inferred from any output, whether or not attributed to the Company or the AI Tool;
 
(ii) systematic summaries, structured outlines, or detailed reproductions of output that would enable a third party to understand, replicate, or approximate the underlying methodology of the AI Tool without accessing it directly;
 
(iii) any AI Tool output, in whole or in substantial part, in any medium or through any channel, including but not limited to social media, messaging applications, video content, podcasts, newsletters, courses, or workshops, except for personal reference use; or
 
(iv) any content that conceals, obscures, or misattributes the source of output as being your own original analysis, research, or framework.
 
(c) Attribution Requirement: Where you are expressly permitted in writing by the Company to share specific output (for example, for promotional or testimonial purposes), you must clearly and prominently attribute such output to the relevant AI Tool and the Company.
 
5.6 No Obligation to Update, Maintain, or Monitor AI Tool Outputs
5.6.1 The Company is under no obligation at any time to update, modify, correct, supplement, withdraw, or otherwise alter any output previously generated by any AI Tool, regardless of whether such output has become or may have become inaccurate, outdated, incomplete, or inapplicable due to the passage of time, subsequent market developments, corporate events, regulatory changes, or any other factor.
5.6.2 The Company is under no obligation to monitor market developments, issuer announcements, macroeconomic events, regulatory changes, or your investment portfolio on your behalf, or to notify you of any event or change that may affect the relevance or accuracy of any output.
5.6.3 You acknowledge and agree that any output generated by an AI Tool reflects information and conditions available at the time of generation only. You are solely responsible for independently assessing whether any output remains current, accurate, and relevant at the time you seek to rely on it.

 

6. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, images, audio, video, data compilations, and software, and further including all analytical methodologies, proprietary investment frameworks, evaluation processes, scoring systems, ranking logic, research processes, AI model architectures, system prompt designs, and any other intellectual or proprietary work product embodied in, generated by, or derived from the Services or any AI Tools provided by the Company (collectively, the "Company IP"), is the property of the Company or its content suppliers and is protected by Hong Kong and international intellectual property laws. Trademarks such as "Chief PaPa", “Chief PaPa 張志雲“, "Rich Cheung 張富有", "贏勢技術" and "智富爸爸" are owned by the Company.


Unless otherwise stated, you may access and use the information and materials on the Website for your personal, non-commercial use. You are strictly prohibited from altering, modifying, adapting, exploiting, or copying for distribution or sale any information, materials, trademarks, or copyrights. You must obtain written permission from us or any other entity that owns intellectual property on the Website before you may publish, distribute, display, or commercially exploit any material from the Website.


All courses and programs are for the personal use of the purchaser only on our platform. The content is for the purchaser's viewing only and may not be resold, shared, disseminated, or transmitted on any platform, website, or communication software, including sharing accounts with others. Violation of this policy will result in the immediate termination of the violator's account and a permanent ban from accessing our paid content, with no refund of any payments made. Furthermore, the Company reserves the right to take all legal action to pursue theft and infringement of our intellectual property.

 

6A. Injunctive Relief
6A.1 You acknowledge and agree that any actual or threatened breach of Clause 5.4 (Restrictions on AI Tools and Proprietary Technology), Clause 6 (Intellectual Property), or any other provision of these Terms relating to the Company's intellectual property or confidential information may cause immediate and irreparable harm to the Company that cannot be adequately compensated by monetary damages alone. The nature of our AI Tools, proprietary methodologies, and content is such that any unauthorised use, disclosure, reverse engineering, or competitive exploitation may result in harm that is difficult or impossible to quantify or remedy after the fact.


6A.2 Accordingly, the Company shall be entitled, without prejudice to any other rights or remedies available to it at law or in equity, to seek immediate injunctive relief or other equitable remedies from any court of competent jurisdiction, without the requirement to post any bond or other security, and without the necessity of proving actual damages or the inadequacy of monetary remedies, to restrain any breach or threatened breach of such provisions.


6A.3 You expressly consent to the Company seeking such relief in any court of competent jurisdiction, and you waive any objection to the granting of such relief on the grounds that an adequate remedy exists at law or that the Company has not suffered or cannot demonstrate irreparable harm.

 

7. Subscriptions, Payments and Cancellations

7.1 Returns, Refunds and Subscription Cancellations

All products are non-returnable and are non-refundable under any circumstances (except where the contrary is specified for the particular product). Unless otherwise expressly guaranteed in writing at the time of purchase, all fees paid are final and non-refundable. We do not offer pro rata refunds or credits for unused subscription periods.


Your membership program under KAL will continue month-to-month unless and until you cancel your membership, or we terminate it. You must have Internet access and provide us with a current, valid, accepted method of payment to use the services. We will bill the monthly (or annually if this is so chosen by you) membership fee to the payment method used when signing up unless updated or changed by the subscriber. You must cancel your membership before it renews each month (or each year if this is so chosen by you) in order to avoid billing of the next month’s (or year's) membership fees to your Payment Method.

  • Monthly subscribers shall give at least 7 days' membership cancellation notice at support@chiefpapa.com.
  • Annual subscribers shall give at least 30 days' membership cancellation notice at support@chiefpapa.com.

If you disagree with any charges, you agree to contact us at support@chiefpapa.com with transaction details before filing a chargeback with your bank or payment provider so that we can resolve the issue internally.


7.2 Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

 

Before the end of each Billing Cycle, we will send a renewal reminder notification to the email address you provided when you registered, 15 to 30 days prior to the next automatic renewal billing date. This notification will include the amount for the next billing cycle and clear instructions on how to cancel your subscription.


At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Karisma Advisory Limited cancels it. You may cancel your Subscription renewal by contacting Karisma Advisory Limited customer support team at support@chiefpapa.com.


Access to all products and content purchased under Subscriptions are subject to the active status of subscription. Once a subscription ceases to be active, all previous access under the Subscriptions would be terminated. Subscriptions are only valid for the period during which the subscription fee has been paid and the topic-related services are provided. Falling behind on payment, failure to renew on time, or cancellation of subscription initiated by either you or Karisma Advisory Limited, would render subscription inactive.

 

7.3 Fee Changes
Karisma Advisory Limited, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

 

Karisma Advisory Limited will provide you with at least thirty (30) days' advance written notice (via email) regarding any changes to your subscription fees, giving you the opportunity to terminate your subscription before such changes take effect.


Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

 

7.4 Chargeback Process

If you file a chargeback, we reserve the right to suspend your access to the service until the dispute is resolved. If the chargeback is ruled invalid, we reserve the right to recover all related costs incurred (including penalties charged by banks or payment processors).

 

8. Offline Events/Seminars

Seminar special price and bonus (if any) are only redeemable on the condition that full payment (or installment, if applicable) is made within 24 hours after the payment (or installment, if applicable) concerned becomes due.


Bonus products and bonus courses must be redeemed within designated timeframe; where such timeframe is not expressly stated, it should be taken to be within 3 months or to be before the latest date displayed as available at the time of purchase, whichever is sooner.


Bonus products and bonus courses are not transferable, not convertible to cash or any other products and/or courses. In the event that the student failed to attend (for whatever reason) a bonus course, he or she will be treated as giving up the bonus course, and KAL is under no obligation to arrange any make-up of any kind in this regard.


"The student" must attend the class according to assigned time and date; otherwise, the course fee will be forfeited. KAL sometimes make special arrangement for individual students at its own absolute discretion, which shall not be seen as the general practice.


No photography, video-recording or sound-recording is allowed without express permission. KAL may under its absolute discretion remove the violator(s) from the immediate course and/or all future courses.


For any courses involving investment related topics, the speaker’s opinion does not represent KAL’s opinion. This information is for educational purposes only and is not a solicitation for investment. The student agrees to always seek professional advice before making any investment decision. KAL is not responsible for any investment gains OR losses of the applicant.


Some courses will be conducted in form of interactive games. Participants shall take proper caution on the safety of themselves and others. People who have medical or health conditions unfit for the activity shall take extra care. The Company is not responsible for any injuries.


In case where Typhoon Signal No.8 or above is hoisted or likely to be hoisted, as announced by the Hong Kong Observatory, all courses will be cancelled until further notice. If the above scenario happens while the course is in progress, course will be suspended immediately.


In case where Black Rainstorm Warning is hoisted as announced by the Hong Kong Observatory, all courses will be cancelled until further notice. If the above scenario happens while the course is in progress, the course will continue.


You agree that KAL will take photos and videos for promotion use. The copyright of all materials taken thereof belong to KAL. 

 

9. Testimonials, Reviews, and Pictures/Videos

KAL is pleased to hear from users and customers and welcomes your comments regarding our services and products. KAL may use testimonials and/or product reviews in whole or in part together with the name, pictures, city, and country of the person rendering/submitting it. 

 

Testimonials may be used for any form of activity relating to KAL’s services or products, in printed and online media, as KAL determines in its sole and exclusive discretion. Testimonials represent the unique experience of the participants and customers submitting the testimonial, and do not necessarily reflect the experience that you may have using our services or products, and are not a guarantee of future results or success. As an accommodation to you, subsequent to acquiring chiefpapalearning.com, chiefpapa.com or Karisma Advisory Limited training, you may download previously acquired training (unless unequivocally prohibited) onto any Associated Device. Some chiefpapalearning.com, chiefpapa.com or Karisma Advisory Limited training or services that you previously acquired may not be available for subsequent download or access at any given time, and chiefpapalearning.com, chiefpapa.com or Karisma Advisory Limited shall have no liability to you in such event. As you may not be able to subsequently download certain previously-acquired content or training, once you download an item, it is your responsibility not to lose, destroy, or damage it, and you may want to back it up.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You irrevocably agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction over any claim or dispute arising from or in connection with these Terms.

 

  • Mediation First: Before initiating any court proceedings (except for applying for an emergency injunction), the parties agree to first attempt to resolve any dispute in Hong Kong through good faith negotiation and mediation.
  • Exclusive Jurisdiction: If mediation fails, the parties agree to submit the dispute to the courts of Hong Kong for exclusive jurisdiction.

15.1 Severability
If any provision of these Terms, or any part thereof, is held or determined by a court or tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason under applicable law, such provision, or the relevant part thereof, shall be deemed to be severed from these Terms to the minimum extent necessary to remedy such invalidity, illegality, or unenforceability. Such severance shall not affect, impair, or invalidate the remaining provisions of these Terms (or the remaining part of any partially severed provision), which shall continue in full force and effect as if such severed provision or part had never formed part of these Terms. Where any provision is severed or requires modification to be enforceable, the parties agree that the court, tribunal, or arbitrator shall, to the fullest extent permitted by applicable law, endeavour to give effect to the commercial intent and original understanding of the parties as reflected in the severed provision, by modifying it to the minimum extent necessary to render it valid, legal, and enforceable.

 

16. Indemnification

You agree to indemnify and hold harmless Karisma Advisory Limited and its affiliates, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, abuse of the Service, or infringement of any third party's rights by your User Content.

 

17. Force Majeure

17.1 Definition
For the purposes of this Clause 17, a "Force Majeure Event" means any event, circumstance, or cause beyond the reasonable control of the Company that prevents, hinders, or delays the performance of any of the Company's obligations under these Terms, including but not limited to:
 
(a) acts of God, natural disasters, adverse weather events, or other natural phenomena (including but not limited to typhoons, tropical storms, earthquakes, tsunamis, floods, landslides, fires, and lightning strikes);
 
(b) epidemics, pandemics, or other public health emergencies declared by a competent governmental or international authority;
 
(c) war, invasion, armed conflict, hostilities (whether declared or undeclared), acts of terrorism, sabotage, riots, civil unrest, or insurrection;
 
(d) any act, directive, order, decree, regulation, or restriction of any governmental, regulatory, judicial, or supranational authority, including but not limited to the Hong Kong Securities and Futures Commission, the Office of the Communications Authority, or any other competent regulatory body having jurisdiction over the Company or its Services;
 
(e) the suspension, closure, temporary halt, or material disruption of any financial market, securities exchange, clearing or settlement system relevant to the subject matter of the Services;
 
(f) failures, outages, disruptions, or degradation of third-party internet, telecommunications, data network, cloud computing infrastructure, hosting platforms, or payment processing systems that are outside the Company's reasonable control;
 
(g) electrical or power failures or disruptions affecting the Company's operations or the delivery of the Services;
 
(h) strikes, lockouts, industrial disputes, or other labour actions, whether or not involving the Company's own employees; or
 
(i) the failure, insolvency, or cessation of operations of any third-party service provider whose services are material to the Company's delivery of the Services, where a reasonable substitute cannot be engaged within a reasonable timeframe.
 
17.2 Effect of Force Majeure Event
In the event of a Force Majeure Event, the Company's obligations under these Terms that are directly affected by such event shall be suspended for the duration of the Force Majeure Event. The Company shall not be in breach of these Terms, nor otherwise liable to you for any delay, non-performance, or partial performance of any affected obligation arising from or caused by the Force Majeure Event. The period within which such affected obligations are to be performed shall be extended by a period equal to the duration of the Force Majeure Event, provided that the Company continues to use reasonable endeavours to perform or resume performance.
 
17.3 Notice
The Company shall use reasonable endeavours to notify you of the occurrence, nature, and anticipated duration of any Force Majeure Event as soon as reasonably practicable after such event commences. The Company shall also notify you as soon as reasonably practicable when the Force Majeure Event has ceased and normal performance has resumed or will resume.
 
17.4 Mitigation and Resumption
The Company shall use reasonable endeavours to mitigate the effects of any Force Majeure Event on the Services and to resume performance of any suspended obligations as soon as reasonably practicable after the Force Majeure Event has ceased or can be reasonably managed.
 
17.5 Limitation
For the avoidance of doubt, nothing in this Clause 17 shall operate to excuse or defer your obligation to pay any fees, subscription charges, or other amounts that have become due and payable to the Company prior to the occurrence of the Force Majeure Event.

  • Clause 14 (Limitation of Liability);
  • Clause 16 (Indemnification);

  • Any other provision which by its nature or express terms is intended to survive termination.
For the avoidance of doubt, termination of these Terms shall not release you from any obligations or liabilities that arose prior to the date of termination, nor shall it affect any accrued rights of the Company.
 
21. Audit and Investigation Rights
21.1 In the event that the Company reasonably suspects that you have breached, or are in the process of breaching, any provision of these Terms (including but not limited to Clause 5.4, Clause 5.5, Clause 6, and Clause 6A), the Company may, by written notice to you, request that you provide reasonable information, evidence, or documentation directly related to the suspected breach, including but not limited to account access records, device logs, content samples, or confirmation of deletion of unauthorised copies of Company IP.
21.2 You shall respond to any such request within ten (10) business days of receipt of the written notice, and shall cooperate in good faith with the Company's reasonable investigation. Where applicable, such cooperation may include providing written explanations, granting limited access to relevant records, or confirming compliance in a manner reasonably specified by the Company.
21.3 Failure or refusal to cooperate in good faith with a reasonable request under this Clause, or material delay in responding beyond the ten (10) business day period without reasonable justification, shall constitute a material breach of these Terms, entitling the Company to the remedies set out in Clause 5.4 and Clause 6A, in addition to any other rights available at law or in equity.
21.4 Nothing in this Clause shall be construed to require you to waive legal professional privilege or to produce documents that you are legally prohibited from disclosing.

5.2 設備與會話限制及監控

為保護服務的完整性並防止未經授權的共享,我們保留對並發登錄會話、註冊設備數量和異常登錄活動實施合理限制的權利。您確認並同意,我們可使用訪問日誌、設備標識符、內容水印和異常活動檢測等技術措施來調查可疑的違規行為。

 

5.3 直播會話錄製與參與者同意

  • 您確認並同意,所有直播會話都可能被錄製。通過參與任何直播會話(包括開啟音頻、視頻或在聊天區發言),您明確同意您的姓名/用戶名、聲音、肖像(如 您啟用攝像頭)、聊天消息以及您分享的任何材料都可能被包含在錄製內容中;
  • 此類錄製內容將用於向學員提供課程回放、進行內部質量監控和培訓,以及處理潛在的服務濫用或安全問題;
  • 如果您不希望被錄製,您應避免在直播會話中開啟攝像頭或麥克風,並避免分享任何個人或機密信息。
5.4 對AI工具及專有技術的限制
如我們在本服務中提供任何人工智能工具、AI驅動功能、自動化分析系統、AI生成內容管道、聊天機器人、推薦引擎或其他專有技術(統稱「AI工具」),您確認此類AI工具構成本公司寶貴的專有知識產權,並受適用的香港及國際法律保護。您同意不得,且不得嘗試允許、協助或便利任何第三方從事以下任何活動:
 
(a) 逆向工程及反編譯
對任何AI工具進行逆向工程、反編譯、拆解、解碼、翻譯,或以任何方式嘗試推導、重建或發現其源代碼、目標代碼、底層架構、模型權重、訓練數據集、超參數、微調方法論、系統提示詞、指令集或算法,無論是全部還是部分,亦無論採用何種方式,惟在適用強制性法律明確允許且不得以合約合法排除的範圍內(包括香港《版權條例》(第528章)第60條下的互操作性法定權利),以及嚴格限於該許可目的所必要的最低限度內,則屬例外;
 
(b) 探測與提取
使用任何方法——包括但不限於重複或系統性查詢、對抗性輸入、提示詞注入攻擊、模型逆向攻擊、成員推斷攻擊、旁路分析或輸出模式分析——提取、推斷、複製或重建任何AI工具的內部邏輯、系統指令、專有配置、訓練數據或運行參數;
 
(c) 繞過控制及覆蓋安全機制
繞過、禁用、覆蓋或規避任何AI工具中或周圍實施的訪問控制機制、安全過濾器、內容審核系統、輸出限制、頻率限制或其他技術保護措施,包括但不限於通過使用所謂「越獄」技術、對抗性提示詞、基於角色扮演的漏洞利用、假設性框架或任何其他旨在或意圖使AI工具在其預期參數之外運作、產生違反其設計約束的內容,或產生在其他情況下應受限制的輸出的方法;
 
(d) 競爭性模型開發
使用我們AI工具產生的輸出、回應、生成內容或任何其他數據(全部或部分),出於商業目的或以與本公司服務或AI工具競爭、替代或損害其商業價值的方式,開發、訓練、微調、基準測試、評估或改進任何人工智能模型、機器學習系統或自動化服務,但事先獲得我們明確書面同意的情形除外;
 
(e) 未授權複製
嘗試通過系統性交互、輸出採集、API鏡像或任何其他方法,複製、模仿、克隆或創建任何AI工具或其核心功能的功能性等效版本或衍生版本,無論該嘗試最終是否成功;
 
(f) 未授權分發AI輸出
向任何第三方分發、發布、許可、出售、再許可或以其他方式提供我們AI工具生成的任何輸出、內容、報告、分析或結果,但僅供您個人、非商業性參考使用,或我們事先以書面形式明確授權的情形除外;
 
(g) 憑證及訪問濫用
向任何第三方分享、出售、轉讓、再許可或以其他方式提供任何AI工具的訪問權限,或明知而允許任何第三方通過您的帳戶憑證、會話令牌、API密鑰或任何技術變通手段訪問我們的AI工具,無論是否收取報酬。
 
違約後果
違反或嘗試違反本第5.4條的任何行為均構成對本條款的重大違約,且在不限制本公司在法律或衡平法上任何其他權利或救濟的前提下,本公司有權:
 
(i) 立即暫停或永久終止您對本服務全部或任何部分的訪問,無需事先通知,且不退還任何已支付的費用;
(ii) 向具有管轄權的法院申請緊急禁制令或其他衡平法救濟,以制止進一步或持續的違約行為,無需證明實際損害;
(iii) 索取損害賠償,包括但不限於直接損失、利潤損失、競爭優勢損失、技術補救費用及全額彌償基準的法律費用;及
(iv) 在適用情況下,將該行為舉報至相關執法機構、監管機構或其他主管機關。
本公司在本條款項下的權利在本條款終止後繼續有效,且與本公司可獲得的所有其他權利和救濟並行不悖。
 
5.5 允許分享範圍及成果轉化為內容的界限
您確認,本公司的AI工具所生成的輸出包含或反映了專有分析方法論、框架及知識產權。為平衡您分享個人學習體驗的權利與本公司保護其知識產權的權利,以下界線適用於您分享任何AI工具的輸出或從中獲得的洞見:
(a) 允許的行為: 您可以用您自己的語言分享您對AI工具的個人、一般性印象、體驗或推薦評語,前提是此類分享不得披露、複製或使他人能夠複製輸出中所包含的具體分析框架、逐步方法論、評分邏輯、評估標準或專有流程。允許的分享示例包括如下表述:「我發現該分析有助於理解市場趨勢」或「該工具讓我對這隻股票有了不同的看法。」
(b) 禁止的行為: 您不得披露、發布、教授、演示或公開分享:
(i) 在任何輸出中反映、體現或可從中推斷出的具體分析框架、逐步方法論、評分標準、評估準則或專有流程,無論是否歸因於本公司或AI工具;
(ii) 輸出的系統性摘要、結構化提綱或詳細複製,以致第三方無需直接訪問AI工具即可理解、複製或近似其底層的方法論;
(iii) 在任何媒介或通過任何渠道(包括但不限於社交媒體、即時通訊應用程序、視頻內容、播客、時事通訊、課程或研討會)分享任何AI工具輸出的全部或大部分,但個人參考使用除外;或
(iv) 任何隱瞞、模糊或將輸出來源錯誤地歸因為您本人原創分析、研究或框架的內容。
(c) 來源標注要求: 如本公司以書面形式明確許可您分享特定輸出(例如用於推廣或使用心得目的),您必須清晰且顯著地將此類輸出歸因於相關AI工具及本公司。
 
5.6 無更新及監控義務
5.6.1 本公司在任何時候均無義務更新、修改、更正、補充、撤回或以其他方式改變任何AI工具先前生成的任何輸出,無論此類輸出是否因時間流逝、後續市場發展、企業事件、監管變化或任何其他因素而已變得或可能已變得不準確、過時、不完整或不適用。
5.6.2 本公司無義務代表您監控市場動態、發行人公告、宏觀經濟事件、監管變化或您的投資組合,亦無義務就可能影響任何輸出的相關性或準確性的任何事件或變化通知您。
5.6.3 您確認並同意,AI工具生成的任何輸出僅反映生成時可獲得的信息和狀況。您須對獨立評估任何輸出在您尋求依賴之時是否仍然最新、準確和相關負全部責任。
 

6. 知識產權

本網站上的所有內容,包括但不限於文本、圖形、標誌、圖像、音頻、視頻、數據彙編及軟件,以及所有分析方法論、專有投資框架、評估流程、評分系統、排名邏輯、研究程序、AI模型架構、系統提示詞設計,以及本公司服務或任何AI工具中包含的、由其生成的或衍生自其的任何其他知識或專有工作成果(統稱「本公司知識產權」),均為本公司或其內容供應商的財產,並受香港及國際知識產權法律保護。「Chief PaPa」、「Chief PaPa 張志雲」、「Rich Cheung 張富有」、「贏勢技術」和「智富爸爸」等商標為本公司所有。


除非另有說明,您可為個人、非商業用途存取及使用本網站上的資訊和材料。您嚴禁更改、修改、改編、利用或複製任何資訊、材料、商標或版權以供分發或銷售。在您發布、分發、展示或商業利用本網站上的任何材料之前,您必須獲得我們或擁有本網站智慧財產權的任何其他實體的書面許可。

6A. 禁制令救濟
6A.1 您確認並同意,任何實際或威脅性違反第5.4條(對AI工具及專有技術的限制)、第6條(知識產權)或本條款中任何其他涉及本公司知識產權或機密信息的條文的行為,均可能對本公司造成即時且無法彌補的損害,而金錢賠償無法對此提供充分補救。我們的AI工具、專有方法論及內容的性質決定了,任何未經授權的使用、披露、逆向工程或競爭性利用,均可能導致事後難以量化或無法補救的損害。
6A.2 因此,本公司有權在不損害其在法律或衡平法上任何其他權利或救濟的前提下,向任何具有管轄權的法院申請即時禁制令或其他衡平法救濟,無需繳交任何保證金或其他擔保,亦無需證明實際損害或金錢補救的不足,以制止對上述條款的任何違約或威脅性違約。
6A.3 您明確同意本公司在任何具有管轄權的法院尋求此類救濟,並放棄以「法律上存在充分補救」或「本公司未受或無法證明無法彌補的損害」為由反對給予此類救濟的任何異議。

 

7. 訂閱、付款與取消

7.1 退貨、退款與訂閱取消

所有產品在任何情況下均不可退貨且不可退款(除非特定產品另有規定)。除非特定產品在購買時另有明確的書面保證,否則所有已支付的費用均為最終費用且不可退還。我們不為未使用的訂閱期提供按比例的退款或積分。

 

您在本公司旗下的會籍將按月持續,除非您取消會籍或我們終止會籍。您必須具備網際網路連線,並向我們提供目前有效且可接受的付款方式,方可使用服務。除非訂閱者更新或變更,否則我們將向您註冊時使用的付款方式收取每月(若您選擇按年付費,則為每年)的會籍費用。您必須在會籍每月(若您選擇按年付費,則為每年)續訂前取消會籍,以避免下個月(或下一年)的會籍費用被計入您的付款方式。

  • 月訂閱用戶需至少提前 7 天發送郵件至 support@chiefpapa.com 取消會員資格。
  • 年訂閱用戶需至少提前 30 天發送郵件至 support@chiefpapa.com 取消會員資格。

如您對任何收費有異議,您同意在向您的銀行或支付提供商提出拒付(Chargeback)前,首先通過 support@chiefpapa.com 與我們聯繫,並提供交易詳情,以便我們在內部解決問題。


7.2 訂閱

服務的某些部分是以訂閱(「訂閱」)方式計費。您將以循環和定期的方式(「計費週期」)預先支付費用。計費週期根據您在購買訂閱時選擇的訂閱方案類型,設定為每月或每年。

 

在每個計費週期結束前,我們將在下一次自動續訂扣款日期的前15至30天內,向您註冊時提供的電子郵件地址發送續訂提醒通知。該通知將包含下一個計費週期的費用金額以及如何取消訂閱的明確指示。


在每個計費週期結束時,您的訂閱將在完全相同的條件下自動續訂,除非您或 Karisma Advisory Limited 取消訂閱。您可以聯繫 Karisma Advisory Limited 客戶支援團隊 support@chiefpapa.com 來取消您的訂閱續訂。


透過訂閱購買的所有產品和內容的存取權限,均取決於訂閱的有效狀態。一旦訂閱停止有效,透過該訂閱獲得的所有先前存取權限將被終止。訂閱僅在訂閱費用已支付並涵蓋相關服務期間內視為有效。延遲付款、未能按時續訂,或由您或 Karisma Advisory Limited 發起的訂閱取消,都將導致訂閱失效。

 

7.3 費用變更
Karisma Advisory Limited 可全權酌情決定隨時修改訂閱服務的費用(下稱「訂閱費用」)。任何訂閱費用變更將於當時的計費週期結束時生效。

 

Karisma Advisory Limited 將就任何訂閱費用變更向您提供至少三十 (30) 天的提前書面通知(透過電子郵件),讓您有機會在此類變更生效前終止您的訂閱。


在訂閱費用變更生效後,您繼續使用本服務,即構成您同意支付經修改的訂閱費用金額。

 

7.4 拒付處理
如果您發起拒付,我們保留暫停您訪問服務的權利,直到爭議解決為止。如果拒付被裁定為無效,我們保留向您追討因此產生的所有相關費用(包括銀行或支付處理商收取的罰款)的權利。

 

8. 實體活動/研討會

研討會特價和贈品(如有)僅在相關款項(或分期付款,如適用)到期後的 24 小時內全額支付(或分期付款,如適用)的情況下才能兌換。


贈品產品和贈品課程必須在指定時間範圍內兌換;如果未明確說明該時間範圍,則應視為在 3 個月內或在購買時顯示為可用的最新日期之前,以較早者為準。


贈品產品和贈品課程不可轉讓,不可兌換現金或任何其他產品和/或課程。如果學員未能參加(無論出於任何原因)贈品課程,將被視為放棄該贈品課程,KAL 沒有義務就此安排任何形式的補課。


「學員」必須按照指定的時間和日期上課;否則,課程費用將不予退還。KAL 有時會根據其絕對酌情權為個別學員做出特殊安排,這不應被視為一般慣例。


未經明確許可,不得進行攝影、錄影或錄音。KAL 可根據其絕對酌情權將違規者從當前課程和/或所有未來課程中移除。


對於任何涉及投資相關主題的課程,講者的意見不代表 KAL 的意見。此資訊僅供教育目的,並非投資招攬。學員同意在做出任何投資決定前,應始終尋求專業建議。KAL 對申請人的任何投資收益或損失概不負責。

您同意 KAL 將拍攝照片和影片用於宣傳用途。由此產生的所有材料版權均屬於 KAL。

 

9. 見證、評論與圖片/影片

KAL 樂於聽取使用者和客戶的意見,並歡迎您對我們的服務和產品提出評論。KAL 可以將見證和/或產品評論的全部或部分,連同提供/提交者的姓名、圖片、城市和國家一起使用。

 

見證可用於與 KAL 服務或產品相關的任何形式活動,包括印刷和線上媒體,具體由 KAL 自行且獨家決定。見證代表提交見證的參與者和客戶的獨特經驗,並不一定反映您在使用我們的服務或產品時可能擁有的經驗,也不能保證未來的結果或成功。您的個人、事業和業務成果將根據您獨有的各種因素、您的業務以及超出 KAL 控制的市場力量而有所不同。請注意,您提供給我們的見證、照片和其他資訊將被視為非機密和非專有資訊,且透過提供這些資訊,您授予 KAL 一項免版稅、全球性、永久、非獨家且不可撤銷的使用許可。

10.1 存取先前購買項目

作為對您的便利措施,在您取得chiefpapalearning.com、chiefpapa.com或Karisma Advisory Limited的培訓後,您可以將先前取得的培訓(除非明確禁止)下載到任何關聯設備上。您先前取得的某些chiefpapalearning.com、chiefpapa.com或Karisma Advisory Limited培訓或服務可能在任何特定時間無法再次下載或存取,chiefpapalearning.com、chiefpapa.com或Karisma Advisory Limited對此類情況不對您承擔任何責任。由於您可能無法再次下載某些先前取得的內容或培訓,因此一旦您下載了某項內容,您有責任不使其遺失、損毀或損壞,並且您可能需要對其進行備份。

  • 合法合規:預防、偵測和調查詐欺或不當行為。

  • 資料備份:錄製並提供現場會議的回放,並進行內部培訓/品質保證以及與濫用、詐欺、安全事件或未經授權共享相關的調查。

11.4 在法律允許的範圍內,我們可能會向您發送有關我們產品、服務、活動或優惠的行銷訊息。您可以隨時透過電子郵件中的「取消訂閱」連結或發送電子郵件至 support@chiefpapa.com 聯絡我們來選擇退出。

 

11.5 我們不會出售、出租或交易您的個人資料。但為實現本政策所述目的,我們可能在以下情況與第三方共享您的資料: 

  • 服務供應商:我們會與提供核心服務支持的第三方合作,例如雲端伺服器供應商、支付處理平台、電郵發送服務商等。我們已與該等供應商簽訂嚴格的保密協議,要求它們只能為我們指定的目的使用您的資料,並提供不低於PDPO要求的保護標準。

  • 禁止向群組推銷:我們的群組對「禁止招攬客戶」有嚴格的政策。這包括引導人們前往包含您的優惠/聯盟行銷優惠的部落格文章,以及公開要求成員加入您自己的 Facebook 群組或社群。
  • 禁止門檻內容(Gated Content):在群組中發布的內容不得以任何方式用於收集潛在客戶(leads)。如果您需要回饋或評論,請直接發布 PDF、文件或螢幕截圖。請勿要求人們選擇加入(opt-in)才能查看。
  • 尊重保密性:在我們的線上社群群組中收集的內容不得在群組外被收集、重新包裝和/或分享。
  • 保持主題相關:我們保留權利,可根據內容偏離主題或具有冒犯性內容而移除貼文。
  • 與其他成員合作:存取社群和群組並不意味著 chiefpapalearning.com 、chiefpapa.com或 Karisma Advisory Limited 認可任何人的產品或服務。當您與群組中的任何人合作時,請務必謹慎並進行盡職調查。
  • 舉報違反群組政策的貼文:如果您看到可疑的貼文,請舉報、在評論中標記我們的社群經理,或直接聯繫我們的社群經理。
  • 違反規則:違反規則的行為將在三次警告後導致從群組中移除 7 天。在 7 天期限過後,歡迎您在 30 天的試用期內重新加入群組。如果您在試用期內再次違反規則,您將被永久從社群或群組中移除。

 

14. 責任限制

本服務是依「現狀」及「現有」基礎提供。在法律允許的最大範圍內,本公司、其董事、員工、關係企業或授權人對於您使用或無法使用本服務,或因您信賴本服務的任何內容而直接或間接產生的任何種類的損失或損害,概不承擔責任。這包括但不限於任何投資損失、利潤損失、商譽損失、資料遺失、業務中斷,或任何其他商業或金錢損失,即使已被告知發生此類損害的可能性。本責任限制條款在您與本公司之間的協議終止後仍應繼續有效。


本公司對任何第三方內容或連結網站的準確性或內容概不負責。

 

15. 管轄法律與爭議解決

本條款應受香港特別行政區法律管轄並依其解釋。您不可撤銷地同意,香港特別行政區法院對因本條款引起或與之相關的任何索賠或爭議擁有專屬管轄權。

  • 調解優先:在提起任何法庭訴訟(申請緊急禁制令除外)之前,雙方同意首先在香港嘗試通過誠信協商和調解來解決任何爭議。
  • 專屬管轄權:如調解失敗,雙方同意將爭議提交至香港法院進行專屬管轄。

 

15.1 可分割性
如本條款的任何條文或其任何部分,被具有管轄權的法院或仲裁庭認定或裁定為無效、違法、無效力或不可執行,則該條文或其相關部分應在補救該無效、違法或不可執行所需的最低限度內,被視為從本條款中分離。該分離不影響、損害或使本條款其餘條文(或任何被部分分離的條文的其餘部分)失效,其餘條文應繼續完全有效,如同被分離的條文或部分從未成為本條款的一部分。如任何條文被分離或需要修改方能執行,雙方同意,法院、仲裁庭或仲裁員應在適用法律允許的最大範圍內,通過對該條文進行使其有效、合法且可執行所需的最低限度修改,盡力實現雙方在被分離條文中所反映的商業意圖及原始理解。
 

16. 彌償

您同意就因您違反本條款、濫用本服務、或您的用戶內容侵犯任何第三方權利而引起的所有索賠、責任、損害、損失和開支(包括合理的律師費),對 KAL 及其關聯公司、董事、員工和代理人作出彌償,使其免受損害。

 
17. 不可抗力
17.1 定義
就本第17條而言,「不可抗力事件」指超出本公司合理控制範圍、阻止、妨礙或延誤本公司履行本條款任何義務的任何事件、情況或原因,包括但不限於:
 
(a) 天災、自然災害、惡劣天氣或其他自然現象(包括但不限於颱風、熱帶風暴、地震、海嘯、洪水、山泥傾瀉、火災及雷擊);
(b) 由主管政府或國際機構宣布的流行病、疫情或其他公共衛生緊急事件;
(c) 戰爭、入侵、武裝衝突、敵對行動(無論是否正式宣戰)、恐怖主義行為、蓄意破壞、暴亂、民事動亂或叛亂;
(d) 任何政府、監管、司法或超國家機構的任何行為、指令、命令、法令、法規或限制,包括但不限於香港證券及期貨事務監察委員會、通訊事務管理局辦公室,或任何其他對本公司或其服務具有管轄權的主管監管機構;
(e) 任何與本服務主題相關的金融市場、證券交易所、清算或結算系統的暫停、關閉、臨時停止或重大中斷;
(f) 超出本公司合理控制範圍的第三方互聯網、電信、數據網絡、雲端計算基礎設施、託管平台或支付處理系統的故障、中斷或降級;
(g) 影響本公司運營或服務提供的電力或電源故障或中斷;
(h) 罷工、停工、勞動糾紛或其他勞工行動,無論是否涉及本公司自身員工;或
(i) 任何對本公司提供服務具有重要性的第三方服務提供商的故障、資不抵債或停止運營,且在合理時間內無法聘用合理的替代方。
 
17.2 不可抗力事件的效力
在發生不可抗力事件時,本公司在本條款下直接受該事件影響的義務應在不可抗力事件持續期間暫停履行。本公司不因不可抗力事件引起或導致的任何受影響義務的延誤、不履行或部分履行而違反本條款或對您承擔責任。受影響義務的履行期限應延長一段等同於不可抗力事件持續期間的時間,前提是本公司繼續盡合理努力履行或恢復履行。
 
17.3 通知
本公司應在不可抗力事件開始後盡快,盡合理努力通知您不可抗力事件的發生、性質及預計持續時間。本公司亦應在不可抗力事件停止且正常履行已恢復或將要恢復後,盡快通知您。
 
17.4 減輕影響及恢復履行
本公司應盡合理努力減輕不可抗力事件對本服務的影響,並在不可抗力事件停止或可合理管控後,盡快恢復履行任何暫停的義務。
 
17.5 限制
為免生疑問,本第17條的任何內容均不免除或推遲您在不可抗力事件發生之前已到期應付給本公司的任何費用、訂閱費或其他款項的支付義務。
 
18. 條款修改
這些條款會不時進行審核和修改。因此,您在下訂單前應仔細閱讀這些條款以及訂單條款。
 
19. 客戶服務
如果您對chiefpapalearning.com或chiefpapa.com上的產品有任何疑問或意見,請發送電子郵件至 support@chiefpapa.com 與我們聯繫。
 
20. 存續條款
本條款的以下條文應在本條款或任何帳戶或訂閱的終止、取消或期滿後繼續有效,並在此類終止、取消或期滿後對您和本公司無限期具有約束力:
  • 第3條(核心免責聲明,包括所有子條款);
  • 第5.4條(對AI工具及專有技術的限制);
  • 第5.5條(允許分享範圍及成果轉內容邊界);
  • 第6條(知識產權);
  • 第6A條(禁制令救濟);
  • 第11條(個人資料私隱);
  • 第14條(責任限制);
  • 第16條(彌償);
  • 第21條(稽查及調查權);及
  • 任何在性質上或依其明示條款旨在在終止後繼續有效的其他條文。
為免生疑問,本條款的終止不免除您在終止日期前產生的任何義務或責任,亦不影響本公司任何已產生的權利。
 
21. 稽查及調查權
21.1 如本公司合理懷疑您已違反或正在違反本條款的任何條文(包括但不限於第5.4條、第5.5條、第6條及第6A條),本公司可通過書面通知要求您提供與涉嫌違約直接相關的合理信息、證據或文件,包括但不限於帳戶訪問記錄、設備日誌、內容樣本,或確認已刪除本公司知識產權的未授權副本。
 
21.2 您應在收到書面通知後十(10)個工作日內回應任何此類請求,並真誠配合本公司的合理調查。在適用情況下,此類配合可能包括提供書面解釋、授予對相關記錄的有限訪問,或以本公司合理指定的方式確認合規情況。
 
21.3 未能或拒絕真誠配合本條款項下的合理請求,或在無合理理由的情況下在十(10)個工作日期限內嚴重延誤回應,均構成對本條款的重大違約,本公司有權行使第5.4條和第6A條所規定的救濟,以及法律或衡平法上可獲得的任何其他權利。
 
21.4 本條款中的任何內容均不得被解釋為要求您放棄法律職業特權,或出示您在法律上被禁止披露的文件。
